Atlanta CPA: Should Your Business Register in Other States?
Though you may have legally incorporated your business in Georgia/your state of domicile, it may not preclude you from having to register your Georgia corporation/your state of domicile in all states where it is transacting business. The below are general guidelines of when your company might be transacting business but is not an all inclusive list. Be sure to work closely with your CPA and corporate attorney so that you do not run afoul of payroll and income tax issues of local governments, counties, states in all locations where you transact business, while being sure to also address any rules on business licenses, vehicle registrations, property/advalorem taxes etc. General issues to consider whether your corporation is transacting business include:
Addressing legal issues whether as a defendant or a plaintiff. Locale of where your Board of Directors, Officer's and Employee's meet.Where you keep your corporate bank accounts.Transferring your company's securities/stock in any form.Selling through independent contractors and or employees. Soliciting business whether by employees, independent contractors or commissioned agents.Creating debt, borrowing, owning real estate, property of any type or recording of deeds.Collecting debts.Management of rental property.Transacting business via interstate commerce. Location of employees and independent contractors as they transact business.A physical presence of either real estate, rental property a business office of any type.Frequency and consistency of business operations.
